Terms and Conditions of Sale:

Please carefully read prior to completing your order:

• Minimum order of AU$350 excluding GST and shipping & handling
• All prices are in Australian Dollars and exclude GST
• Please submit your proforma order and our team will check availability and add the shipping & handling charge for your final invoice total for payment
• If items are on backorder a separate order and invoice will be created for payment when the stock is available to ship.
• Once you are sent your invoice for available products, HkBrands require payment in full within 3 business days. If payment is not received within this timeframe, goods will be returned to stock.
• Payment in full is required prior to your order being shipped and Products remain the property of Hk Brands until fully paid and shipped from our warehouse.
• Orders are shipped from our warehouses in Melbourne, Victoria

Hk Brands reserve the right to change our Terms and Conditions without notice, unless we are required by law to notify you of changes in writing.

Hk Brands will only supply re-sellers who have an Online and/or Physical Retail Store.

Hk Brands reserves the right to refuse or accept any order for Hk Brands brands products at its discretion.

Hk Brands may approve or decline Wholesale applications at its discretion based on territorial location and/or business information provided within the application.  This is managed on a case by case basis and is subject to change without notice at Hk Brands exclusive discretion.

Minimum Order Value

• Each product in each Brand has a minimum pack size
• If you do not order to the correct pack size we will adjust the necessary amount to your order to meet pack sizes
• The total minimum order (across all brands) is AU$350 excluding GST and shipping
• Shipping charges are additional and will be added to your invoice
• If your order contains products that are on backorder we will notify you as soon as possible

Preorders

• Preorders and Special Order Items are considered final orders and cannot be cancelled. Estimated delivery dates are approximate and subject to change. We aim to dispatch orders as quickly as possible.
• You may be required to pay a non-refundable deposit of 50% for preorder products or full payment for Special Order items. This deposit is non-refundable for change of mind.
• If your order contains products that are not available (on backorder), we will create a separate order and invoice for these products. Final Payment will be required when the stock is available and prior to shipment.
• We will contact you if there is not enough of your order available to send immediately. We cannot guarantee that all items displayed on our website are always in stock.
• Once the product is available, we will resend you the proforma order to see if there is any other stock you would like to add to your order. We will then revise the order and send an updated invoice with shipping costs included.
• When you receive your final invoice, payment is required within 3 business days.

Dispatch and Shipping

• All orders will be dispatched from our warehouses in Melbourne, Victoria.
• Shipping & Handling costs are calculated as per the order size and delivery location.
• Orders will be shipped with Hk Brands approved Carrier. Tracking details will be emailed once the order is dispatched. Collection from our warehouse/s is not possible unless agreed in writing with Hk Brands and a handling fee will be payable, determined by the size of order.
• Once order has been dispatched, non-delivery of order must be followed up with Carrier using the associated tracking details. You must also notify HkBrands immediately within 7 days of expected delivery date.

Payment

• Payment in full for an invoice is required within 3 business days
• Payment can be made via Bank Transfer or Credit Card (Visa or Mastercard only and fees apply)
• Order will be dispatched once full payment has cleared

Selling Hk Brands in Market Places

• All sales channels to market must be disclosed to Hk Brands when applying for wholesale services. You are only permitted to sell Hk Brands represented brands in your nominated online and/or retail store as listed in your Wholesale Application form.
• Under no circumstances are Brands represented by Hk Brands (JaBaDaBaDo, Baghera or HipKids products) to be sold in markets or 3^rd party online market places, such as, but not limited to, Catch.com, MyDeal.com, Ebay, Facebook Marketplace etc. Please do not misrepresent the Brands represented by Hk Brands.

Pricing

• Hk Brands reserve the right to revise or amend our pricing at any time and without notice.
• Recommended Retail Price (RRP) guidelines are listed on the Hk Brands website and order forms

Cancellation of Order

• If you wish to cancel your order, please contact Hk Brands in writing immediately.
• Once payment has been accepted, it is the discretion of Hk Brands if the order can be cancelled
• Preorder and Special Order items cannot be cancelled and will not be refunded unless required under Australian consumer law.

Returns

• Hk Brands must be notified within 7 business days of accepting your delivery if items are missing or damaged
• If customers have any post-purchase customer care issues, please contact hello@hkbrands.com.au
• Hk Brands may request return of faulty / damaged goods before providing a replacement, credit or refund for purchase price.
• Hk Brands does not accept returns of unsold products or for change of mind reasons.

Marketing Support

• Hk Brands will supply brand marketing collateral (branded imagery) using Dropbox by request

Notification to Changes of Business Customer Details (Wholesale Accounts)

• If any details change from the original details submitted in your Wholesale application – including business name, business ABN, business contact persons, business address or business sales channels, you must notify Hk Brands in writing within 7 business days of the changes being made.
• Hk Brands reserves the right to request a new Wholesale Application be submitted when they are notified of such business changes
• Hk Brands reserves the right to accept or decline the updated Wholesale Application based on any updated changes to the business
• We reserve the right to terminate any account that fails to disclose all of its channels; or misrepresent the nature of any channel it discloses.

APPLICABLE LAW & JURISDICTION

Hk Brands is based in Victoria, Australia therefore all purchases are subject to the laws of the Commonwealth of Australia, and where applicable the state of Victoria. Use of this site will be in accordance to the jurisdiction of the courts of Victoria and Australia.

“Customer” means and includes any natural person, company, partnership or other entity whose order for the purchase of Goods is accepted by Hk Brands

“Goods” means and includes goods and services supplied or to the supplied to the Customer by Hk Brands

“Hk Brands” means Hk Brands or any of its subsidiary or related companies trading as Hk Brands.
